Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Strata platform ("Service") operated by Strata ("we", "us", "our"). By creating an account or using the Service, you agree to be bound by these Terms.
1. Account Registration
You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use.
2. Description of Service
Strata provides a cloud-based platform for managing professional certificates, continuing education tracking, competency checklists, and training scheduling. Features available to you depend on your subscription plan and module selections.
3. Subscription and Billing
- Subscriptions are billed annually via Stripe. Your first charge occurs at the time of signup and includes your annual platform access fee plus your selected certificate credit bundle.
- Certificate credits are purchased in bundles and consumed as certificates are issued. Credits roll over and do not expire while your account remains active.
- All fees are stated in US dollars and are non-refundable except as required by law.
- You may cancel your subscription at any time through the Billing page in your account. Cancellation takes effect at the end of the current billing period.
- We reserve the right to change pricing with 30 days' notice. Continued use after the effective date constitutes acceptance of the new pricing.
4. Your Data
- You retain all ownership rights to the data you upload or create in the Service ("Your Data").
- You grant us a limited license to host, store, and process Your Data solely to provide and improve the Service.
- We will not sell Your Data to third parties.
- Issued certificates are stored in secure cloud storage for five (5) years from the date of issuance, regardless of subscription status.
- Upon full account deletion, non-certificate data will be retained for 90 days to allow for export, after which it will be permanently deleted. Certificate records subject to the five-year retention policy will be retained for their full retention period.
5. Certificate Archive Access
When a subscription is cancelled or not renewed, account administrators retain read-only access to the Certificate Archive for five (5) years from the date of cancellation. During this period:
- Administrators may log in at app.strata-apps.com using their existing credentials and will be directed to the Archive Portal automatically.
- All previously issued certificates stored under the account remain available for individual download in PDF format.
- No new certificates may be issued, and no other platform features are accessible during archive-only access.
- Archive access is provided at no additional charge as part of the five-year certificate storage included with every account.
- After the five-year archive window expires, stored certificates and associated records will be permanently deleted.
6. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or to issue fraudulent certificates or credentials.
- Attempt to gain unauthorized access to the Service or its related systems.
- Interfere with or disrupt the integrity or performance of the Service.
- Upload content that infringes the intellectual property rights of others.
- Resell or redistribute the Service without our written consent.
7. Intellectual Property
The Service, including its design, code, and branding, is owned by Strata and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or other brand features.
8. Availability and Support
We strive to maintain high availability but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable advance notice. We are not liable for downtime caused by factors beyond our control.
9. Limitation of Liability
To the maximum extent permitted by law, Strata shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
10. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
11. Termination
We may suspend or terminate your access to the Service if you violate these Terms or engage in conduct that we reasonably believe is harmful to other users, us, or third parties. You may terminate your account at any time by canceling your subscription and contacting us.
12. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Your continued use after changes take effect constitutes acceptance of the revised Terms.
13. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles.
